This Legal Counsel role will support complex commercial transactions across SaaS, software licensing and consulting, while providing broader legal support within a business operating at significant international scale.


The opportunity
This is a new headcount within the legal team, created to provide additional support to a growing international software business.

You will take on a broad in-house Legal Counsel position, acting as a key legal partner to commercial and operational teams across the organisation.

The role spans software and SaaS agreements, corporate governance, legal operations, disputes, employment matters, real estate and wider corporate projects.

It will particularly suit an experienced commercial attorney who enjoys working as a legal generalist and wants exposure beyond traditional commercial contracting.


Key responsibilities
  • Lead the drafting, review and negotiation of software licence agreements, SaaS agreements, consulting agreements and other commercial contracts.
  • Provide practical legal guidance to Sales, Services, Finance, Marketing, Partner and wider business teams.
  • Support commercial deal discussions and help teams navigate legal and contractual issues throughout the sales process.
  • Develop and improve legal processes, procedures, templates and standard contractual terms.
  • Provide legal support across corporate governance, audit, tax and treasury, employment disputes and real estate matters.
  • Support dispute management and coordinate with external counsel where required.
  • Contribute to wider legal projects, internal training and knowledge sharing across the organisation.
  • Monitor relevant changes in legislation and regulation and advise the business on their potential impact.


About you
Essential
  • Juris Doctor from an ABA-accredited law school.
  • Licensed and in good standing to practise law in at least one US state.
  • Minimum of 3 years' commercial transactional experience gained within a law firm, in-house legal department or combination of both.
  • Strong experience drafting and negotiating commercial agreements.
  • Able to provide commercially pragmatic legal advice in a fast-moving business environment.
  • Strong written, verbal, interpersonal and organisational skills.
  • Comfortable managing competing priorities and making sound decisions independently.
  • Interested in developing as a broad commercial legal generalist.


Preferred
  • Previous experience working as an in-house attorney within a technology or software business.
  • Experience negotiating software, cloud or SaaS agreements.
  • Experience managing commercial disputes directly without significant reliance on external counsel.
